Proxy vote assignment

This page explains how to assign your proxy vote for an upcoming members meeting.

Steps

  • Make sure it's at least 48 hours before the meeting.
  • Make sure you are current (green) on member dues at the time of the meeting.
  • Ask your proxy nominee if they will be your proxy. Get their email address. Optional: explain how you want them to vote.
  • Send the following email:
To: directors@protospace.ca
CC: [nominee email]
Subject: Member meeting proxy
Body:

Hi Directors,

I'd like to assign my proxy for the upcoming member meeting to [nominee name].

Thanks,
[your legal name]
  • Your proxy is not official until it's been confirmed received or it appears in the upcoming meeting agenda.

Background

Sections 18, 20, 21 and 22 of our Articles of Association establish proxy voting, along with the Approved Policies/Proxy Voting policy.

The 48 hour rule is ambiguously worded in section 22, and is often ignored. But it's best to send your proxy in before just to be safe.
